Terms & Conditions

The rules governing use of zevraz.com and the engagement of Zevra services. By browsing the Site or engaging our services you accept these Terms.

Last updated: October 25, 2026Version: 2.0Language: English

These Terms and Conditions (the "Terms") govern the use of zevraz.com (the "Site") and the engagement of professional services offered by Zevra ("Zevra", "we").

By accessing the Site or engaging our services you accept these Terms in full. If you do not agree with any part, do not use the Site or engage our services.

1. Services

Zevra provides design, build and operation of AI agents, workflow automation, systems implementation (CRM, workflow, operating dashboards) and training programs.

The specific scope of each engagement — deliverables, timeline, assigned team, SLA, pricing model — is defined in an individual proposal or contract signed by both parties (the "Individual Contract"), which prevails over these Terms in case of conflict.

We reserve the right to decline projects that do not align with our ethics, technical capacity or quality standards.

2. Site use and acceptable use

Site content is informational. It does not constitute legal, financial, commercial or investment advice. You should verify any information before making decisions based on it.

By using the Site you agree not to: (a) engage in illegal activity; (b) perform mass content extraction (scraping) without written authorization; (c) attempt to breach security; (d) impersonate others; (e) use the Site to send spam or malware; (f) interfere with Site availability for other users.

3. AI services — specific scope

When Zevra builds or operates an AI system, the service is provided in good faith according to the state of the art, but we do not guarantee specific outputs of any AI model. Models may produce inaccurate, incomplete or unexpected responses ("hallucinations").

We commit to implementing reasonable quality controls, instructions (prompts), verification with grounded sources and human-in-the-loop mechanisms where appropriate, detailed in each Individual Contract.

The client is responsible for supervising use of AI systems delivered by Zevra, establishing human escalation channels for critical cases, and complying with regulations applicable to their industry (financial, healthcare, consumer protection, etc.).

Zevra may integrate third-party models (e.g. OpenAI, Anthropic, Google). Use of those models is additionally governed by the respective provider's terms, which the client implicitly accepts by engaging the service.

4. Intellectual property

Site content — text, images, code, trademarks, logos — is the property of Zevra or its licensors and is protected by intellectual property laws.

When engaging a project, the specific agreed deliverables become the client's property upon final payment, unless the Individual Contract states otherwise.

Reusable generic tools, frameworks, components, prompts, methodologies and accumulated knowledge developed by Zevra remain the property of Zevra, even when used during a project for a client. Zevra grants the client a perpetual, non-exclusive and non-transferable license to use those components as part of the final deliverable.

5. Confidentiality

Any information you share with us during a diagnosis, proposal or project is treated as confidential. We do not use it for purposes other than serving your project, nor share it with third parties except when strictly necessary for execution (with your consent) or when required by law.

Confidentiality is mutual: Zevra also shares sensitive information with you during projects (methodologies, prompts, architectures), and we expect the same care.

Confidentiality obligations survive termination of the commercial relationship for a period of five (5) years.

6. Personal data

The processing of personal data is governed by our Privacy Policy, which is an integral part of these Terms.

When Zevra acts as a data processor (for example, operating an AI agent that processes the client's customers' data), a separate data processing agreement ("DPA") is signed detailing the obligations of both parties.

7. Payments

Prices, payment schedules, currency and accepted methods are defined in each Individual Contract. Invoices must be paid within agreed timelines.

Late payment may result in the suspension of active services (including monthly operation of agents and automations) with five (5) business days notice, until the situation is resolved.

Taxes (VAT, withholdings, etc.) are the client's responsibility unless expressly agreed otherwise.

8. Warranties and limitation of liability

Zevra delivers services "as is" and "as available", applying commercially reasonable efforts to deliver quality and to keep the Site available and secure.

We do not guarantee uninterrupted operation of the Site or operated services, specific commercial outcomes, nor the total absence of errors in delivered AI systems.

To the maximum extent permitted by applicable law, Zevra's aggregate total liability to a client for any project — for any claim, under any legal theory — will not exceed the amount effectively paid by that client to Zevra during the six (6) months prior to the event giving rise to the claim.

Zevra will not be liable for indirect, consequential, lost profits, lost data, lost business opportunity or reputational damage, even if advised of the possibility of such damages.

9. Indemnification

The client will indemnify and hold Zevra harmless against third-party claims arising from: (a) client's use of deliverables in ways other than agreed; (b) data or content provided by the client to Zevra for processing; (c) client's non-compliance with laws applicable to its industry.

Zevra will indemnify the client against third-party claims for intellectual property infringement caused directly by deliverables developed by Zevra, excluding third-party components integrated at the client's request.

10. Termination

Either party may terminate an engagement with the notice stated in the Individual Contract. Absent a specific term, notice is thirty (30) days.

Either party may terminate immediately for material breach not cured within ten (10) days of written notice of the breach.

Confidentiality, intellectual property, limitation of liability and indemnification obligations survive termination.

11. Force majeure

Neither party will be liable for partial or total failure to perform obligations arising from events beyond its reasonable control, including but not limited to: natural disasters, generalized internet or electricity outages, interruptions of cloud infrastructure or AI model provider services, strikes, government acts, pandemics or acts of war.

12. Assignment

Neither party may assign its rights or obligations under these Terms without written consent of the other, except in the case of merger, acquisition or sale of substantially all assets of a party, where assignment to the successor is automatic.

13. Changes

We may update these Terms from time to time. The last update date and version appear above. Changes apply from the moment they are published.

For clients with an active Individual Contract, changes to these Terms do not retroactively affect the terms agreed in the Individual Contract. If you continue to use the Site or renew a service after an update, you are deemed to accept the new Terms.

14. Severability and entire agreement

If any provision of these Terms is declared invalid or unenforceable by a competent court, the rest will remain in full force and effect, and the invalid provision will be replaced by a valid one that reflects the original intent as closely as possible.

These Terms, together with the applicable Individual Contract and the Privacy Policy, constitute the entire agreement between the parties and supersede all prior agreements on the subject matter.

15. Governing law and dispute resolution

These Terms are governed by the laws applicable to the data controller's domicile indicated in the Privacy Policy.

The parties commit to seeking an amicable solution to any controversy for thirty (30) days before initiating legal action. Failing that, any controversy will be resolved in the competent courts of that jurisdiction, unless expressly agreed otherwise in an Individual Contract providing for arbitration.
